IBM announced on Monday its intention to acquire Software AG’s enterprise integration platforms for 2.13 billion euros ($2.33 billion), aiming to enhance its offerings in artificial intelligence and hybrid cloud services.
The purchase will involve Software AG’s StreamSets and webMethods platforms, integral components of the “Super Ipaas” business launched by Software AG in October. The acquired platforms specialize in application integration, API management, and data integration, among other functionalities.
Software AG, primarily owned by private equity firm Silver Lake, currently holds a 93.3% stake in the company after a prolonged takeover pursuit that valued the entire business at 2.6 billion euros ($2.84 billion). Christian Lucas, the Chairman of the supervisory board of Software AG, expressed enthusiasm about the collaboration, stating, “The opportunity to bring the StreamSets and webMethods teams together with IBM to innovate in building the future of hybrid cloud and next-generation AI solutions for the enterprise is uniquely compelling.”
The transaction is contingent on regulatory approvals and is anticipated to conclude in the second quarter of 2024. Simultaneously, Silver Lake has unveiled a delisting offer for Software AG at 32 euros ($34.96) per share, marking the anticipated next step in the aftermath of its takeover earlier this year.
